Where a conflict exists between these Terms and another policy, these Terms govern unless the other policy expressly states otherwise.

If you do not have that authority, or you do not agree, you must not use the Service.

To use ArcScribe, you must be at least the age of majority in your jurisdiction, or at least 13 years old and using the Service with the involvement and consent of a parent or legal guardian where local law permits. You must not be barred from using the Service under applicable law, and you must not use ArcScribe if you are located in a region where doing so would be illegal. The ArcScribe free plan does not require an account. You can install the extension and begin recording immediately.
ArcScribe Pro uses lightweight verification tied to the email associated with your subscription through our billing processor, rather than a heavyweight account system. You are responsible for:

- Maintaining access to the email associated with your subscription.

- All activity that occurs through your subscription or on your device.

#Billing, Renewals, and Refunds
Billing. Paid subscriptions are billed through our processors, ExtensionPay and Stripe. By subscribing, you authorize the applicable charges to your chosen payment method.
Free plan. The free plan is provided at no cost and requires no payment method. It may include usage limits, and we may adjust those limits over time with notice through the extension or website.
Paid plan. ArcScribe Pro is billed in advance for the applicable period (monthly or annually). Prices are shown before you confirm your purchase, and taxes may apply based on your location.
Renewals. Subscriptions renew automatically at the end of each billing period at the then-current price for your plan, unless you cancel before the renewal date. We will treat your subscription as continuing until you cancel.
Cancellation. You may cancel at any time. When you cancel, you retain Pro access through the end of the period you already paid for, and your subscription does not renew after that. Cancellation is handled through the billing tools available to you or by contacting us.
Refunds. If you are not satisfied, contact us at support@bwg.llc and we will review your request in good faith. Except where a refund is required by law, refunds are provided at our reasonable discretion, and we generally do not provide partial refunds for time already elapsed in a billing period. We aim to be fair and reasonable in every case.
Note: Because renewals are automatic, set a reminder before your renewal date if you only want ArcScribe Pro for a limited time. Canceling stops future renewals; it does not retroactively refund a period already billed unless the law or our discretion provides otherwise.
#License to Use ArcScribe
Subject to your compliance with these Terms, Birchwood Group grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use ArcScribe for its intended purpose. This license exists for as long as you comply with these Terms.
This license does not transfer any ownership of the Service to you. All rights not expressly granted are reserved by Birchwood Group. You may not sublicense, sell, or redistribute the extension, and you may not use it to build a competing product by copying its code or design.
#Intellectual Property
Our intellectual property. ArcScribe, including its software, design, user interface, brand name, logo, documentation, and associated materials, is owned by Birchwood Group and protected by intellectual property laws. The ArcScribe name and marks may not be used without our prior written permission, except as reasonably necessary to refer to the product.
Your content. You retain all rights to the recordings, transcripts, and other Content you create with ArcScribe. We do not claim ownership of your Content, and because your Content is stored locally, we do not receive it in the ordinary course of use. You are solely responsible for your Content and for having the rights and permissions necessary to create and use it.
Feedback. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use that feedback to improve the Service, without obligation to you. Feedback is voluntary, and you should not send us anything you consider confidential.
#Acceptable Conduct and Restrictions
You agree to use ArcScribe lawfully and responsibly. In addition to the detailed rules in our Acceptable Use Policy, you agree that you will not:
- Use ArcScribe to record any person or communication where you do not have the legal right or the consent required by the laws that apply to you.
- Use the Service for any unlawful, harmful, deceptive, or infringing purpose.
- Reverse engineer, decompile, or attempt to extract the source code of the extension, except to the limited extent that applicable law expressly permits.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service, our systems, or our billing processors.

#Third-Party Integrations
ArcScribe may interoperate with third-party components, most importantly the speech engine built into Google Chrome and our billing processors, ExtensionPay and Stripe. Those third parties operate under their own terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services, and your use of them is at your own risk and subject to their agreements. If a third-party service changes or becomes unavailable, features that depend on it may be affected.
#API Usage
ArcScribe is primarily a client-side extension and does not offer a public developer API as part of the standard Service. If we make any programmatic interface, developer tools, or automation endpoints available in the future, your use of them will be subject to these Terms, any additional API terms we publish, and reasonable rate limits and technical requirements. You must not attempt to access, script, or automate ArcScribe or its billing infrastructure in ways that are not expressly permitted, and you must not use any interface to place an unreasonable load on our systems or those of our processors.
#Transcription and AI Limitations
ArcScribe helps you turn speech into text, but transcription is not perfect, and it is important that you understand its limits.
- Accuracy is not guaranteed. Live transcription relies on the browser's built-in speech engine and is affected by audio quality, accents, background noise, terminology, language settings, and your connection. Transcripts may contain errors, omissions, or misheard words.
- Review before you rely. Do not rely on an ArcScribe transcript for critical, legal, medical, financial, or safety-related decisions without reviewing and verifying it yourself. You are responsible for checking accuracy before use.
- ArcScribe does not run its own AI models on your content. We do not use your recordings or transcripts to train models, and we do not make automated decisions about you. Where the word "AI" appears in relation to speech to text, it refers to the browser's native recognition capability, not a Birchwood Group model.
- Availability depends on the browser. Because live transcription uses a browser service that needs a connection, that feature may be unavailable or degraded at times outside our control.
Best practice: For important recordings, keep the original audio and proofread the transcript against it. ArcScribe is designed to save you time, not to replace your judgment.
#Disclaimers and Warranty
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Birchwood Group disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, error free, secure, or free from inaccuracies, or that it will meet your specific requirements. We do not warrant the accuracy or completeness of any transcript. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you, in which case any implied warranties are limited to the minimum permitted by law.
#Limitation of Liability
To the fullest extent permitted by law, Birchwood Group and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.
To the extent liability cannot be excluded, our total aggregate liability for all claims relating to the Service is limited to the greater of the amount you paid to us for ArcScribe in the twelve months before the event giving rise to the claim, or fifty United States dollars. Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.
#Indemnification
You agree to defend, indemnify, and hold harmless Birchwood Group and its owners, employees, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with: your use or misuse of the Service; your Content, including any recording you made without the consent or rights required by law; your violation of these Terms or of any applicable law; or your infringement of the rights of any third party. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.
#Termination
By you. You may stop using ArcScribe at any time by uninstalling the extension, and you may cancel a subscription as described above.
By us. We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms or our Acceptable Use Policy, if we are required to do so by law, or if continuing to provide the Service to you would create legal or security risk. Where reasonable and lawful, we will provide notice and, for curable issues, an opportunity to fix the problem.
Effect of termination. On termination, your license to use the Service ends. Provisions that by their nature should survive termination, such as intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive. Because your Content is stored locally, termination of the Service does not delete content already on your device, though certain features may stop working.
#Dispute Resolution and Arbitration
We want to resolve concerns quickly and fairly. Before starting any formal proceeding, you agree to contact us at support@bwg.llc and give us a reasonable opportunity to resolve the issue informally.
If a dispute cannot be resolved informally, you and Birchwood Group agree that, to the extent permitted by applicable law, disputes will be resolved through binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court where eligible. Arbitration will be conducted on an individual basis, and you and Birchwood Group waive any right to participate in a class or representative action to the extent permitted by law. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information. Where mandatory local law grants you the right to bring proceedings in your local courts, this section does not remove that right.
#Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules, except where mandatory consumer protection law in your place of residence provides otherwise. Subject to the arbitration provisions above, the state and federal courts located in Florida will have jurisdiction over disputes not subject to arbitration, and you consent to that jurisdiction and venue where permitted by law.
#Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. The invalidity of one provision does not affect the validity of the rest of the agreement.
#Force Majeure
Birchwood Group is not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, power or internet outages, acts of government, labor disputes, disruptions of third-party services (such as the browser's speech engine or our billing processors), or other events of force majeure. Our obligations are suspended for the duration of such events.
#Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Accessibility Statement, and Acceptable Use Policy, constitute the entire agreement between you and Birchwood Group regarding the Service, and supersede any prior agreements or understandings on the subject. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

As a user of ArcScribe, you are responsible for:

Example 1: Automatic renewal. A user subscribes to ArcScribe Pro annually. Twelve months later, the subscription renews automatically at the then-current annual price because the user did not cancel. This is expected behavior, disclosed at purchase and here. To avoid renewal, the user cancels before the renewal date.
Example 2: Transcription error in a legal setting. A paralegal uses ArcScribe to draft notes from a hearing. The transcript misheard a case number. Because the paralegal reviewed the transcript against the audio before filing, the error was caught. These Terms make clear that verifying accuracy is the user's responsibility.
Example 3: Refund request. A user upgrades, then realizes ArcScribe is not right for their workflow and emails support within a few days. Birchwood Group reviews the request in good faith and, exercising reasonable discretion, resolves it fairly even though the elapsed time was minimal.
